Annual General Meeting 2023

Viaplay Group AB (publ) ("Viaplay") held its Annual General Meeting ("AGM") on 16 May 2023.

The AGM resolved to re-elect all current Board members Pernille Erenbjerg, Simon Duffy, Natalie Tydeman, Anders Borg, Kristina Schauman and Andrew House. Furthermore, the AGM resolved to re-elect Pernille Erenbjerg as Chair of the Board.

The AGM adopted the Income Statement and the Balance Sheet, as well as the consolidated Income Statement and the consolidated Balance Sheet, and resolved that Viaplay's unappropriated earnings are to be carried forward.

The AGM resolved to discharge the Board and the CEO from liability for 2022.

At the AGM, the Board informed that its proposal regarding a long-term incentive plan 2023 ("LTIP 2023") had been withdrawn. The Board will come back with a new proposal for a long-term incentive plan.

The AGM also resolved:

  • to approve the remuneration report for 2022;
  • to determine the remuneration to the Board and the fees to the Auditor;
  • to re-elect KPMG AB as Auditor for the period until the end of the AGM in 2024 with Tomas Gerhardsson continuing as auditor-in-charge;
  • to authorise the Board to resolve on new issue of Class B shares, and/or warrants and/or convertible bonds; and
  • to authorise the Board to resolve on repurchase of own shares.

Viaplay Group’s Annual General Meeting 2022

Viaplay Group AB (publ) (“Viaplay Group”) Annual General Meeting ("AGM") was held on 18 May 2022. Due to the ongoing coronavirus pandemic and for the safety of Viaplay Group's shareholders the AGM was conducted solely by postal voting pursuant to temporary legislation.

The AGM resolved, in accordance with the proposal of the Nomination Committee, to re-elect the Board members Anders Borg, Simon Duffy, Kristina Schauman, Natalie Tydeman and Andrew House. Furthermore, the AGM resolved to re-elected Pernille Erenbjerg as Chair of the Board.

The AGM adopted the Income Statement and the Balance Sheet, as well as the consolidated Income Statement and the consolidated Balance Sheet, and resolved that Viaplay Group's unappropriated earnings are to be carried forward.

The AGM resolved to discharge the Board and the CEO from liability for 2021.The AGM resolved to implement a long-term incentive plan 2022 (“LTIP 2022”), and to authorise the Board to issue Class C Shares, repurchase own Class C Shares, transfer own Class B shares, and to approve a swap agreement in relation to LTIP 2022. 

For the purpose of LTIP 2021, the AGM also resolved to authorise the Board to issue Class C Shares, repurchase own Class C Shares, and to transfer own Class B shares. Furthermore, the AGM resolved to approve transfer of own Class B shares issued and repurchased under LTIP 2019.

The AGM also resolved to:

  • approve the Board's remuneration report 2021;
  • approve the proposal of remuneration to the Board and the auditor;
  • re-elect KPMG as auditor until the close of the 2023 AGM. Tomas Gerhardsson will continue as auditor-in-charge;
  • authorise the Board to resolve on repurchases of Viaplay Group's own shares conditioned by, among other things, that the holding does not at any time exceed 10 percent of the total number of shares in Viaplay Group; 
  • approve the procedure for the Nomination Committee; and
  • amend Viaplay Group's Articles of Association to reflect that the company intends to use the business name Viaplay Group AB (publ), from the date when the Articles of Association has been registered at the Swedish Companies Registration Office, which is expected around 18 May 2022. 

At a statutory meeting of the Board of Directors following the AGM, the Audit and Remuneration Committees were appointed. Simon Duffy was appointed as Chair of the Audit Committee and Kristina Schauman, Anders Borg and Andrew House were appointed as members of the Audit Committee. Natalie Tydeman was appointed as Chair of the Remuneration Committee and Anders Borg and Andrew House were appointed as members of the Remuneration Committee.

NENT Group’s Annual General Meeting 2021

Nordic Entertainment Group AB (publ) (NENT Group) Annual General Meeting ("AGM") was held on 19 May 2021. Due to the ongoing coronavirus pandemic and for the safety of NENT Group's shareholders the AGM was conducted solely by postal voting pursuant to temporary legislation.

The AGM resolved to re-elect the Board members Anders Borg, Simon Duffy, Pernille Erenbjerg, Kristina Schauman and Natalie Tydeman and elected Andrew House as a new member of the Board. Furthermore, the AGM elected Pernille Erenbjerg as new Chair of the Board.

The AGM adopted the Income Statement and the Balance Sheet, as well as the consolidated Income Statement and the consolidated Balance Sheet, and resolved that NENT Group's unappropriated earnings are to be carried forward.

The AGM resolved to discharge the Board and the CEO from liability for 2020.

The AGM resolved to implement a long-term incentive plan 2021 ("LTIP 2021"), and to approve that the Company enters into a swap agreement with a third party to hedge LTIP 2021, under which the third party shall, in its own name, acquire and transfer NENT Class B shares to the participants in LTIP 2021. The AGM did not resolve in accordance with the Board's proposals under items 17(b)-(d) on the agenda, which were proposed in order to be able to deliver own Class B shares to the participants in LTIP 2021.

The AGM also resolved to:

  • approve the Board's remuneration report 2020;
  • approve the proposal of remuneration to the Board and the auditor;
  • re-elect KPMG as auditor until the close of the 2022 AGM. Tomas Gerhardsson will be appointed as new auditor-in-charge;
  • authorise the Board to resolve on repurchases of NENT Group's own shares conditioned by, among other things, that the holding does not at any time exceed 10 percent of the total number of shares in NENT Group; and
  • amend NENT Group's Articles of Association to reflect formal requirements pursuant to the Swedish Companies Act.

At a statutory meeting of the Board of Directors following the AGM, the Audit and Remuneration Committees were appointed. Simon Duffy was appointed as Chair of the Audit Committee and Kristina Schauman, Anders Borg and Andrew House were appointed as members of the Audit Committee. NENT Group’s Extraordinary General Meeting 2021

The shareholders of Nordic Entertainment Group AB (publ) (“NENT Group”), Reg. No. 559124-6847, are hereby invited to an Extraordinary General Meeting on 25 January 2021.

BACKGROUND AND REASONS FOR THE EXTRAORDINARY GENERAL MEETING

On 10 November 2020, NENT Group announced a new vision to become the European streaming champion. The company intends to launch its Viaplay streaming service in 10 international markets by the end of 2023, and to increase its Viaplay subscriber base to approximately 10.5 million by the end of 2025. As communicated on 10 November 2020, NENT Group intends to fund these strategic initiatives with an equity raise of more than SEK 3.5 billion, which is also expected to deliver a number of additional benefits including increased trading liquidity in NENT Group’s shares.

NENT Group has now consulted with its major shareholders regarding the expansion plans and equity raise. The next step in the implementation of these plans is for NENT Group to invite its shareholders to this Extraordinary General Meeting to resolve on an authorisation for the Board of Directors to issue, with deviation from shareholders pre-emptive rights, new Class B shares representing up to 20% of the total number of shares issued at the time of the authorisation.

NENT Group’s Annual General Meeting 2020

Nordic Entertainment Group AB’s (publ) (NENT Group) Annual General Meeting (“AGM”), which was held on 19 May 2020 in Stockholm, voted in support of all the resolutions that the Board and Nomination Committee proposed to the AGM.

The AGM resolved to re-elect Board members David Chance, Anders Borg, Simon Duffy, Kristina Schauman and Natalie Tydeman, and to elect Pernille Erenbjerg as a new member of the Board. The Annual General Meeting also re-elected David Chance as Chairman of the Board.

The AGM adopted the Income Statement and the Balance Sheet as well as the consolidated Income Statement and the consolidated Balance Sheet, and resolved that NENT Group's unappropriated earnings are to be carried forward.

The AGM resolved to discharge the Board and the CEO from liability for 2019.

The AGM also resolved to:

  • approve the proposal for remuneration to the Board and auditor;
  • adopt new updated guidelines for the remuneration to the senior executives;
  • re-elect KPMG as auditor until the close of the 2021 AGM. Joakim Thilstedt will continue as auditor-in-charge;
  • authorise the Board to resolve on repurchases of no more than 10%, at any time, of all shares issued by NENT Group; and
  • amend NENT Group’s Articles of Association to, among other things, allow the Board to collect powers of attorney and decide that shareholders shall have the right to provide their votes before a General Meeting.

At a statutory meeting of the Board of Directors following the AGM, the Audit and Remuneration Committees were appointed. Annual & Sustainability Report 2019 

Nordic Entertainment Group AB (publ) (NENT Group) announced that its Annual General Meeting, which was held on 22 May 2019 in Stockholm, voted to support all of the resolutions that the Board and Nomination Committee proposed to the Meeting.

The Annual General Meeting resolved that a dividend of SEK 6.50 per share is to be paid out to the shareholders in two equal instalments of SEK 3.25 each. The record dates will be on Friday 24 May 2019 for the first dividend payment, and Friday 11 October 2019 for the second dividend payment. The dividends are expected to be distributed to the shareholders on Wednesday 29 May 2019 and Wednesday 16 October 2019, respectively.

The Annual General Meeting adopted the Income Statement and Balance Sheet for 2018, and discharged the Board and the CEO from liability for 2018.

The Annual General Meeting resolved to approve the proposal for remuneration to the Board and auditor, the procedures for the Nomination Committee, and the guidelines for the remuneration of senior executives.

The Annual General Meeting resolved to re-elect KPMG as auditor until the close of the 2020 Annual General Meeting. Joakim Thilstedt will continue as auditor-in-charge.

The Annual General Meeting resolved to adopt a long-term incentive plan for key employees, including the authorisation of the Board to issue and repurchase Class C Shares and resolve on the transfer of its own Class B Shares to the participants in the incentive plan.

The Annual General Meeting also resolved on a bonus issue, which will increase the share capital by SEK 134,184,488.

The Annual General Meeting further resolved to amend the Articles of Association in order to carry out the resolutions regarding the hedged delivery of shares to participants in the long-term incentive plan (by introducing a new Class C share) and bonus issue (by increasing the limits for the share capital).

At a statutory meeting of the Board of Directors following the Meeting, the Audit and Remuneration Committees were appointed. Simon Duffy was appointed as Chairman of the Audit Committee, with Anders Borg and Kristina Schauman appointed as Committee members. Natalie Tydeman was appointed as Chairman of the Remuneration Committee, with David Chance and Henrik Clausen appointed as Committee members.
