Overview

The Annual General Meeting is the highest decision-making body of Viaplay Group and it is at the Annual General Meeting where all shareholders can exercise their right to decide on issues affecting the Company and its operations.

The Annual General Meeting of shareholders shall be held within six months after the end of the financial year.

At the Annual General Meeting, the shareholders of Viaplay Group resolve on several matters, including adoption of income statements and balance sheets, the disposition of the Company’s profit or loss, discharge of liability for the members of the Board and the CEO, composition of the Nomination Committee, election of members of the Board (including the Chairman of the Board) and auditor, remuneration to the members of the Board and auditor as well as guidelines for remuneration to the CEO and other senior executives. The shareholders of Viaplay Group also resolve on other matters that are important to the Company, for example any changes of the Articles of Association or long-term incentive programmes, at the general meeting.

Shareholders wishing to have matters considered at the Annual General Meeting should submit their proposals in writing to the Company Secretary, Viaplay Group AB, Annual General Meeting, P.O. Box 17104, SE-10462, Stockholm, Sweden at least seven weeks before the Annual General Meeting.

All shareholders who are directly recorded in Viaplay Group’s share register maintained by Euroclear five weekdays (Saturdays included) prior to the general meeting and who have notified the Company of their intention to participate in the general meeting not later than the date indicated in the notice of the general meeting, are entitled to attend the general meeting and vote for the number of shares they hold.
